You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Site or this Agreement must be filed within one hundred eighty (180) days after such claim or cause of action arose or be forever barred. Any legal action or proceeding between TAISC and/or its affiliates and you related to this Agreement shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the State of Texas, Harris County, Texas.

FEES & PAYMENTS

TAISC reserves the right at any time to charge fees for access to portions of the Service or the Service as a whole. If at any time TAISC requires a fee for portions of the Service or the Service as a whole, TAISC will require you to register and create an account. In no event will you be charged for access to portions of the Service or to the Service as a whole unless TAISC obtains your prior agreement to pay such charges. You shall pay all fees and charges incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred, including but not limited to charges for any products or services offered for sale through the Service by TAISC or by any other vendor or service provider. All fees and charges shall be billed to you, and you shall be solely responsible for their payment. You shall pay all applicable taxes relating to the use of the Service through your account, and the purchase of any other products or services. Certain portions of the Service or the Service as a whole may require a prepaid fee ("Prepaid Fee"), which may be modified from time to time in TAISC's sole discretion. The Prepaid Fee, and all taxes and other fees related thereto will be paid by you in advance. In no event will you receive any portions of the Service or the Service as a whole if a Prepaid Fee is required unless TAISC receives all fees and charges payable by you, including the Prepaid Fee.

SEVERABILITY

If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of this Agreement will remain in force.

NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to Service Provider's Registered Service Agent:  BlumbergExcelsior Corporate Services, Inc.; 814 San Jacinto Blvd., Suite 303; Austin, Texas 78701.  ALL INQUIRIES NOT RELEVANT TO THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE.

ENTIRE AGREEMENT
